How is a corporation formed?

The creation of a corporation occurs following the proper filing of "Articles of Incorporation' with the relevant government department or registry following which a certificate of incorporation is issued. The Articles of incorporation includes all the important information about the corporation, including:

  1. Name of the corporation
  2. Initial registered office address
  3. Name of initial directors
  4. Share structure - rights of each class of shares
  5. Restrictions on the transfer of ownership

Once the Articles of Incorporation are filed, the government will issue a Certificate of Incorporation that confirms the creation of the corporation.
